Continued market share gains and strong growth in acquisition financings and technology financings drove record transaction activity across the U.S. and Europe in 2021

Lincoln’s Global Capital Advisory Group (CAG) activity in 2021 increased substantially from 2020 (36% increase in number of U.S.-based transactions and 47% increase in European-based transactions) driven by strong merger and acquisition markets, and the continued evolution of the private debt market as a competitive alternative to syndicated loans. Whether for healthy or more challenging situations, private equity and private company clients are increasingly turning to Lincoln’s Capital Advisory Group to solve bandwidth issues and deliver creative financing solutions.

Market Trends

The financing market is firing on all cylinders, fueling intense competition among lenders.

While inflation and the withdrawal of Federal Reserve liquidity measures are potential concerns for U.S. lenders, in the near term they are unlikely to disrupt the private debt market, which is supported by solid fundamentals.
With the strong demand for floating rate debt from fixed income investors, private debt fundraising approached benchmark levels in 2021, outpacing record new issue volume and resulting in substantial dry powder for 2022.
In Europe, borrowers can take advantage of environmental, social and governance (ESG) linked loans becoming increasingly common. While a broad range of performance metrics were used in 2021, market participants will keep an eye on the emergence of standards in 2022.
For borrowers that are not performing as expected due to supply chain issues, labor shortages, the continued evolution of COVID-19 variants or other operational issues, structured capital is providing an avenue of solutions / options that can extend runway and preserve options so value can be maximized in the future.
