Subclic has been sold to CTAIMA, a portfolio company of Hg
Subclic
Founded in 2017 and headquartered in Marseille, France, Subclic is a French Software-as-a-Service (SaaS) provider specializing in subcontractor contract management, primarily serving the construction industry. The company offers a collaborative platform designed to digitize and streamline subcontracting processes, including contract drafting, approval workflows, electronic signatures, amendments and contractual monitoring. Its solution enables construction companies and project owners to centralize subcontractor management, improve operational efficiency and ensure regulatory compliance. Subclic serves over 200 clients and connects a network of more than 55,000 subcontractors.
The Deal
Lincoln International advised Subclic and its shareholders on the sale of the company to CTAIMA, a leading European provider of subcontractor management and compliance software backed by Hg. The acquisition further strengthens CTAIMA’s presence in France and expands its capabilities across the subcontractor lifecycle. By combining Subclic’s contract management solutions with Provigis’ supplier qualification and compliance offering and Twind’s on-site contractor management capabilities, CTAIMA will provide an integrated platform covering subcontractor qualification, contracting, site access and ongoing compliance monitoring. The transaction also supports CTAIMA’s broader European expansion strategy, with the combined offering initially being deployed in France before expanding into other European markets.
Our Perspective
Matthieu Rosset, Managing Director in Lincoln’s Paris office, commented, “Lincoln International is delighted to have advised Subclic and its shareholders on this transaction, supporting the company in joining CTAIMA. The acquisition highlights the strong strategic fit between Subclic’s contract management capabilities and CTAIMA’s broader offering, further strengthening its position in the fast-growing third-party risk management market. This transaction further demonstrates our deep expertise in the GRC and supply chain risk and compliance management (SCRCM) space, having conducted 8 transactions in the last 3 years.”
