Katy Industries has been sold to Highview Capital and Victory Park Capital Advisors
Lincoln International (“Lincoln”), a leading global mid-market investment bank, is pleased to announce the sale of all of the assets of Katy Industries (OTC:KATY; “Katy” or the “Company”) through a section 363 sale to Highview Capital (“Highview”) and Victory Park Capital Advisors (“VPC”).
The assets will be consolidated under a newly formed holding company owned by Highview and VPC, named American Plastics, LLC (“American Plastics”). American Plastics is a leading manufacturer, importer and distributor of commercial cleaning and consumer home storage products. This new platform will be led by Robert Guerra, previously President and Chief Executive Officer of Katy, and will continue to operate under the Company’s brands, including Continental Commercial Products, Contico, Wilen, Fundamentals and Fort Wayne Plastics. For more information on American Plastics, visit www.americanplasticsllc.com.
Larry Perkins, CRO of Katy, noted, “Lincoln International’s jan-san and plastics experience, deep restructuring expertise, knowledge of the buyer universe and senior banker commitment resulted in excellent advice and process execution.”
Robert Guerra, President and CEO of American Plastics, added, “Today’s news is an exciting milestone for our company, marking the beginning of our next chapter as American Plastics. With the support and expertise of our new partners, we are now better equipped than ever to achieve sustainable growth and continue to meet the needs of our customers, employees and other stakeholders.”
Lincoln acted as the exclusive financial advisor to Katy, working closely with the Company’s management team and the restructuring committee throughout the Chapter 11 Bankruptcy case and §363 sale process. This involved expeditiously managing a broad sale process, negotiating the terms of the asset purchase agreement and debtor-in-possession financing, and advising on other aspects of the Chapter 11 process. Lincoln would like to thank professionals at Sierra Constellation and DLA Piper for working collaboratively to achieve a successful outcome.
