E. Zimmermann, headquartered in Germany, is a leading machining specialist for automotive differential housings based on highly innovative and flexible in-house designed machining processes and manufacturing concepts. The company acts as a Tier-2 supplier to renowned Tier-1 automotive suppliers serving premium original equipment manufacturers (OEMs) for the upper to premium and sports car segments.

Stackpole International, headquartered in Canada, is a supplier of highly engineered products to the automotive industry and manufactures powertrain systems and components. It has a global footprint with manufacturing facilities located in North America, Europe and Asia and serves a blue-chip customer base comprising international automotive OEMs and Tier-1 suppliers.

Johnson Electric, headquartered in Hong Kong and listed on the Hong Kong Stock Exchange, is a global leader in electric motors and motion subsystems for a broad range of industries. The group has revenues of more than $3.1 billion and a global headcount of more than 35,000 individuals located in Asia, the Americas and Europe.

With the acquisition of E. Zimmermann, Johnson Electric intends to broaden its product offering in the niche market of automotive differential housings and to add unique machining expertise to its operations.

Lincoln International acted as the exclusive mergers and acquisitions (M&A) advisor to the shareholders, preparing and managing a successful competitive M&A process as well as identifying the ideal strategic partner for the successful future development of the target company. Lincoln International provided advisory services, industry expertise and managed the preparatory, marketing, due diligence and negotiation phases of the transaction.

The transaction closed in May 2021.
