Lincoln International represents Metal Spinners, Inc., a portfolio company of Reliant Equity Investors, in the private placement of $49 million in debt to facilitate the acquisition of Missouri Metals, LLC
CHICAGO, IL, January 28, 2008 - Lincoln International acted as the exclusive financial advisor to Metal Spinners, Inc., a leading domestic metalworking, manufacturing, and service company serving a variety of industries, in its acquisition of Missouri Metals, LLC, a manufacturer of close tolerance, specialty metal components used primarily in aerospace and defense applications. Lincoln structured and arranged the private placement of $37.5 million in senior credit facilities and advised on the placement of $11.5 million in senior subordinated notes to fund the acquisition and provide partial liquidity to certain shareholders of Metal Spinners.
Lincoln International's transaction team worked closely with the senior management of Metal Spinners, Inc. and Reliant Equity Investors to structure the financing for the transaction. Despite difficult financing market conditions, Lincoln International successfully arranged the private placement of the credit facilities and achieved an optimal structure for the company. In addition, Lincoln International assisted in the negotiation and documentation of the credit terms.
Olin Wiland, CEO of Metal Spinners, Inc., commented, "The team from Lincoln International ran an excellent process that resulted in a capital structure which will provide us with the operating flexibility we need to pursue our growth and value creation objectives." Thomas Darden, Managing Director of Reliant Equity Investors, said, "Lincoln International's relationships and expertise were instrumental in navigating through a difficult credit environment and were important in every stage of the transaction, from identifying lenders to closing."
