July 2007

Lincoln International advises v. Nordeck International Holding AG (Oberuzwil, Switzerland), RWA Raiffeisen Ware Austria AG (Vienna) and the Zach family (Graz) on the disposal of Kelly Ges.m.b.H. (Vienna) to Intersnack Knabber-Gebäck GmbH & Co. KG (Cologne)

Frankfurt, July 2007 - with around EUR 106m gross sales and approx. 400 employees, Kelly Ges.m.b.H. ("Kelly") is by far and large the market leader in savoury snack products in Austria and has established a strong market position in southeast Europe. Alongside potato chips and cocktail snacks, Kelly also produces extruder products, popcorn, peanuts and high-grade nuts as well as tortilla chips. Kelly has three production sites, Vienna, Feldbach and Vozuca (Bosnia Herzegovina), and distributes its products predominantly in Austria and south east Europe, but also in other European and international countries.

In order to boost and safeguard Kelly's extremely successful development, the former shareholders have sold Kelly to Intersnack Knabber-Gebäck GmbH & Co. KG ("Intersnack"), the second largest European snack producer (funny-frisch, Chio, Pom-Bär, goldfischli), based in Cologne. Two of the best-known brands in Austria, Kelly's and Soletti, are thus changing owners in order to position themselves within an international network. The transaction is still subject to approval by the cartel office.

"With Lincoln we had an advisor on our side, who, supported by the management, understood how to present the company superbly, create an extremely competitive bidding environment and, with the help of a firmly organised sales process, to achieve a very attractive sales price for the shareholders", claims Gisbert v. Nordeck, representative of the majority shareholder.

The conclusion of this transaction is yet another deal in Austria for Lincoln and is confirmation of its expansion strategy with the newly opened Vienna branch. Lincoln seems well armed for further projects in the region.
