Lincoln International Represents Amerigon Inc. in its Acquisition of W.E.T. Automotive Systems AG
Lincoln International, the independent global mid-market investment bank, has advised Amerigon Inc. (NASDAQ-GS:ARGN), a designer, developer and supplier of products based on advanced, proprietary, efficient thermoelectric device technologies for a wide range of global markets, on its acquisition of 76.3% of the shares of W.E.T. Automotive Systems AG (DB:WET). W.E.T. is a German-headquartered business engaged in the development, production and sale of technology components for manufacturers of seat comfort and automotive cable systems in North America, Europe and Asia.
Amerigon acquired its position in W.E.T. through a combination of the acquisition of a shareholding from a majority institutional shareholder in the Company and a tender offer which has recently been completed. The tender offer valued each W.E.T. share at €40 and the whole of W.E.T.’s outstanding share capital at €121.6 million ($177.5 million). The funds for the acquisition were provided from Amerigon’s existing cash resources and from bank and equity financing.

The financing provided to Amerigon from leading banks and investors reflects the strategic opportunities inherent in the transaction.” The transaction was completed in conjunction with Lincoln International’s Frankfurt office.
