Lincoln International advises Deutsche Bahn AG on the acquisition of PCC Logistics Group, the largest private freight railway in Poland.

On January 29, 2009, Deutsche Bahn, Europe's largest freight railroad, signed a binding agreement with PCC SE to acquire PCC Logistics, a group of companies forming the largest private freight railway operations in Poland with consolidated revenues of approx. Euro 350 million, 5,800 employees, 400 locomotives and more than 7,700 rail cars at the end of 2008. Currently, PCC Logistics achieves an 8-percent share of the railcargo market in Poland. PCC Logistics is comprised of more than 20 operating companies specializing in coal, chemicals and construction material transports.

The acquisition has been concluded pending the agreement of the responsible authorities and antitrust agencies.

At the conclusion of the negotiations, the Chairman of the Deutsche Bahn's Management Board, Hartmut Mehdorn, said, "This purchase further extends our range of DB services for our customers in a growing Europe. Poland is Germany's largest trading partner in Eastern Europe and Germany is Poland's largest export market. DB Schenker Rail, our freight railroad which operates internationally, and PCC Logistics will together put more traffic on the rails and thus secure jobs in Poland as well as in Germany. By doing so just when times are economically difficult is a sign of our sustainability."

The acquisition of PCC Logistics is a significant strategic step towards a further expansion of Deutsche Bahn's activities in Eastern Europe.
