Lincoln International Serves as Exclusive Financial Advisor to Siemens AG in the Sale of Siemens Building Technologies electronic GmbH to HSH N Kapital

FRANKFURT  March 26, 2007  Lincoln International, a leading mid-market investment bank, today announced that Siemens Building Technologies has signed a definitive agreement with HSH N Kapital GmbH, a Hamburg-based private equity group, for the sale of Siemens Building Technologies electronic GmbH (SBTe). SBTe is a proven innovator of industry-leading, highly reliable heat and water meters for cost allocation and flow measuring applications.

It was Siemens Building Technologies strategic decision to divest its highly specialized subsidiary in order to focus on its core activities in the market for home automation. Lincoln International was able to bring about signing only 3 months after potential buyers had been contacted.

HSH N Kapital is highly convinced of the excellent growth prospects of SBTe. The Company is a technological market leader in the growing market for automated meter reading (AMR), has a strong management team and its core geographic markets offer substantial growth potential, said Dr. Spyros Chaveles, Managing Director of HSH N Kapital. HSH will invest in the Company's current manufacturing site in Mühlhausen (Thuringia, Germany) and further develop SBTe's competitive positioning through close cooperation with the existing management. The incumbent management team has decided to co-invest in the future of SBTe.

The expeditious execution of the sale process was of major importance for the seller. The transaction is solely subject to regulatory approval. Terms of the transaction were not disclosed.
