Lincoln Partners Represents Integrex in Asset Sale to Three-Five Systems

Chicago, Illinois - Lincoln Partners, the second largest investment bank headquartered in Chicago, acted as financial advisor to Integrex, a privately-held electronics manufacturing services (EMS) company in Bothell, Wash., in today’s sale of its customer base to Three-Five Systems, Inc. (NYSE: TFS), of Tempe, Arizona.  Although the transaction does not include Integrex's Bothell manufacturing facility, it will involve the transfer of many Integrex employees to TFS.

Lincoln Partners assisted Integrex's investors in identifying and reviewing several prospective buyers and advising on the selection of TFS.  TFS was chosen, in part, based on its existing customer relationships and strong presence in the northwestern United States.  That, combined with TFS strong offshore manufacturing capability and solid balance sheet, made it a good fit for Integrex's customers and employees.

We are excited that our customers and so many of our employees will now move to TFS, a global EMS company with world-class capabilities, said Alan Fuhrman, President and COO for Integrex, Inc.  We have built our customer portfolio based on a team of knowledgeable professionals and flexible, responsive manufacturing capability.  By joining TFS, a company that shares our strong sense of customer commitment, our employees will become part of an organization that embraces these same qualities.  Equally important, our customers will benefit from a continued, localized presence that can now deliver the added value of a truly global manufacturing organization.

At Lincoln Partners, we place strong emphasis on knowing our clients' businesses and industries intimately so that we can help them identify the best buyers, sellers or investors for their particular needs, said Jack Calderon, Managing Director at Lincoln Partners.  We go above and beyond by staying active and connected to the industries we advise on so that we achieve the best terms for our clients.

Lincoln Partners is the second largest investment bank headquartered in Chicago, specializing in the middle-market mergers and acquisitions, private capital raising and financial recovery for global clients.  The firm's fundamental commitment is to complete assignments on the best terms for clients committing hands-on attention, ingenuity and significant expertise to every transaction.  Lincoln Partners' industry expertise includes aerospace/defense, consumer products, electronics, food products, general industrial and building products, and transportation equipment.
