January 3, 2006 - Chicago, IL - Best Case Solutions, Inc. ("Best Case"), the leading publisher of bankruptcy form preparation software, announced today that it has been sold to Wolters Kluwer Law & Business, a unit of Wolters Kluwer. Headquartered in Amsterdam, Wolters Kluwer is a leading multinational publisher and information services company.  Lincoln Partners, a leading middle-market investment bank, initiated the transaction, assisted in the negotiations and served as the exclusive financial advisor to Best Case.  Terms of the transaction were not disclosed.

Headquartered in Evanston, Ill., Best Case was founded in 1993 by John Mancini and Lucinda Fox.  Best Case is the largest provider of form preparation software in the United States with an installed base of over 12,000 users across all 50 states.  The company also is a pioneer in the Electronic Case Filing marketplace, establishing itself as a leader in this market by providing highly-reliable solutions for attorneys to interact with the court systems.

"It was important to us to find a buyer that understood our value proposition and was committed to further developing and growing our services to our large base of clients," said John Mancini, president and founder of Best Case.  "Lincoln International's ability to identify an international buyer and bring our privately-owned company onto the global stage has exceeded our expectations."

Using its comprehensive network of global resources, Lincoln International identified Wolters Kluwer Law & Business as the right company to maintain and grow Best Case's successful business.  The transaction also demonstrates Lincoln International's expertise in the Business Services sector, an important and growing sector of the firm.

"Best Case's record of market leadership in this specialty area makes it a valuable addition to Wolters Kluwer Law & Business," said Robert Becker, President and CEO, Wolters Kluwer Law & Business. "With this acquisition, Wolters Kluwer is further extending our leadership in the bankruptcy arena by providing legal professionals with a single source for the first choice in bankruptcy information and workflow solutions."

As part of the transaction, Lincoln International oversaw all preparatory, marketing, due diligence, negotiations and closing phases, working directly with Best Case and Wolters Kluwer to complete the transaction.  The firm was able to close the deal within a highly efficient and condensed timeframe, maintaining Best Case's confidentiality throughout the process.
